1. Purpose of the Service

RGM Guru is a digital platform designed to provide independent analysis of vessel performance throughout a voyage. It combines technical, environmental, and legal perspectives to help charterers, owners, insurers, and legal professionals evaluate time charter performance claims. The service offers structured reports, forensic insights, and objective commentary based on uploaded voyage data.

The RGM Guru platform is solely a decision-support tool and does not constitute legal advice or expert determination unless explicitly agreed otherwise in writing.

2. Eligibility and Access

You must be a commercial entity or a professional involved in the maritime or legal industries to use this Service. By accessing or using RGM Guru, you confirm that:  

• You are authorised to bind the entity you represent;

• You will use the Service solely for lawful purposes; and

• You accept full responsibility for all activity undertaken under your account.

We reserve the right to deny access to any user without prior notice or explanation.

3. Confidentiality and Data Security

You retain all rights to your data. We commit to treating uploaded data, voyage records, and reports generated through the platform as confidential and will not share such data with third parties except:  - With your prior written consent;  - When required by law or lawful authority;  - For anonymised benchmarking or model refinement purposes, where data is de-identified. All reasonable measures are taken to ensure the integrity and security of the data stored and processed on the platform.

4. Intellectual Property

All intellectual property rights in the RGM Guru platform, including the Reasonable Grounds Model (RGM), algorithms, user interface, structure, design, and generated content (excluding user-provided data), are and shall remain the sole property of Emscote Arden Solutions FZC. You must not copy, reproduce, reverse engineer, or commercially exploit any part of the platform without explicit permission.

5. Use of Reports and Outputs

Reports generated by RGM Guru are provided on an “as is” basis for use in dispute resolution, analysis, or commercial evaluation. No guarantee is given that the content will be accepted by third parties, tribunals, or courts. Users are responsible for interpreting and applying outputs in context. The Service is not a substitute for legal or expert advice.

6. Disclaimers and Limitations of Liability

To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including any implied warranties of merchantability or fitness for a particular purpose. We do not guarantee that the Service will be error-free, uninterrupted, or immune to unauthorised access. Under no circumstances shall we be liable for any loss of profit, loss of opportunity, or consequential damages resulting from your use of the Service. Our total liability for any claim related to your use of the Service shall not exceed the fees paid for the Service in the six months prior to the claim.

7. Payment Terms

Access to RGM Guru may be subject to subscription fees, report-based charges, or other pricing arrangements as agreed in writing or displayed on the website. All fees are exclusive of VAT or applicable taxes. Failure to pay will lead to suspension of access and possible termination.

8. Termination

We may suspend or terminate your access to the Service at any time if:

• You breach these Terms;

• You misuse or attempt to compromise the platform;

• Required by law or regulatory order. Upon termination, your licence to use the Service ends immediately, and all outstanding fees shall become due.

9. Dispute Resolution

These Terms are governed by English law. Any dispute arising out of or in connection with these Terms or the use of the Service shall be referred to arbitration in London under the London Maritime Arbitrators Association (LMAA) Terms current at the date of the dispute.

The seat of arbitration shall be London. The language shall be English.

10. General

• These Terms constitute the entire agreement between you and us.

• We may update these Terms at any time by posting a revised version on the platform.

• If any provision is held invalid, the remainder shall remain in full force.

• No waiver shall be effective unless in writing.
